If you engage IfeCharis for a project, the specific terms of that project will normally be set out in a separate proposal, agreement, or contract.

IfeCharis is operated by Grace Ajayi and provides services including website design, website development, website redesign, automation, and related digital services.
The website provides information about these services and examples of previous work.
2. Using this website
You may use this website for lawful purposes only.
You agree not to:
Use the website for fraudulent or unlawful purposes
Attempt to gain unauthorised access to the website or its systems

IfeCharis provides services based on the specific needs of each client.

Website Design
Website strategy, structure, user experience, visual design, WordPress development, responsive design, website redesign, content direction, and related services.
Automation
Workflow design, business process automation, client onboarding workflows, enquiry workflows, integrations, notifications, and other systems designed to reduce repetitive manual work.
The exact services, deliverables, timeline, fees, and responsibilities for a project will be agreed with the client before work begins.
5. Project agreements
For client projects, a separate proposal, statement of work, contract, or other written agreement may apply.
If there is a conflict between these website Terms & Conditions and a specific signed client agreement, the terms of the specific client agreement will take precedence for that project.
6. Client responsibilities
To complete a project effectively, clients are responsible for providing information, content, feedback, approvals, access, and other materials reasonably required for the project.
This may include:
Brand information
Website content
Images and other media
Business information
Login or technical access where required
Feedback and approvals
Third-party account access
Information required to configure automations
Delays in providing required information, materials, feedback, or approvals may affect the project timeline.
7. Payments
Project fees, payment schedules, deposits, and payment deadlines will be agreed before work begins.
Unless otherwise agreed in writing, work may not begin until any required deposit or initial payment has been received.
Additional work outside the agreed project scope may result in additional fees.
8. Changes and revisions
Projects include the revisions or rounds of feedback agreed in the relevant proposal or project agreement.
Requests that substantially change the agreed direction, scope, structure, functionality, or deliverables may be treated as additional work.
I will communicate any significant additional costs before proceeding.
9. Project scope
A project is based on the agreed scope of work.
If you request additional pages, features, integrations, automations, functionality, content, or other work that was not included in the original agreement, this may require:

The purpose of this is to keep expectations clear for both sides.
10. Website functionality and third-party services
Websites and automations may rely on third-party services, software, plugins, APIs, hosting providers, payment providers, email services, or other technologies.
I do not control third-party platforms and cannot guarantee that they will always remain available, unchanged, secure, or compatible.
If a third-party provider changes its pricing, functionality, API, policies, or availability, additional work may be required to maintain or replace the affected functionality.
Where ongoing third-party subscription costs apply, these are generally the client’s responsibility unless otherwise agreed.
11. Automation
Automation is designed to make predictable business processes easier and reduce unnecessary manual work.
However, automation does not eliminate the need for human oversight.
Clients remain responsible for reviewing important business decisions, communications, customer information, payments, and other activities where human judgement is required.
IfeCharis does not guarantee that an automation will produce a particular financial, sales, operational, or business result.
12. Content provided by the client
Clients are responsible for ensuring that content, images, logos, documents, data, and other materials they provide are accurate and that they have the right to use them.
Clients are responsible for obtaining any necessary permissions, licences, or rights for materials they provide.
13. Intellectual property
Unless otherwise agreed in writing:
The client retains ownership of content and materials they provide.
Once the agreed project fees have been paid in full, the client receives the rights to the final project deliverables created specifically for them, subject to any third-party licences or restrictions.
Third-party software, plugins, fonts, stock images, templates, or other licensed materials remain subject to their respective licences.
IfeCharis retains ownership of its pre-existing processes, methods, templates, tools, reusable components, and know-how.
14. Portfolio use
Unless otherwise agreed in writing, IfeCharis may display completed work as part of its portfolio, website, social media, case studies, or other promotional materials.
If a project contains confidential information or you would prefer the work not to be publicly displayed, please discuss this before the project is completed.
15. Website launch and ongoing maintenance
Once a website has been approved and delivered, the client is responsible for ongoing maintenance unless a separate maintenance agreement has been arranged.
Ongoing maintenance may include:
Software updates
Plugin updates
Security
Backups
Content changes
Technical troubleshooting
Hosting
Domain renewal
These services may be provided by IfeCharis where separately agreed.
16. Results
IfeCharis aims to create websites and systems that are useful, clear, and appropriate for each client’s goals.
However, I cannot guarantee:
A specific number of website visitors
Search engine rankings
A specific number of leads or clients
A particular level of revenue
Specific conversion rates
Particular business growth
Continued performance of third-party platforms
Business results depend on many factors outside the control of a website designer or automation specialist.
17. Cancellation and termination
Cancellation terms for a specific project will normally be set out in the relevant client agreement.
If a project is cancelled after work has begun, the client may remain responsible for payment for work already completed and any agreed non-refundable costs.
Where appropriate, project files or completed deliverables will be provided in accordance with the relevant agreement and payment status.
18. Limitation of liability
IfeCharis will take reasonable care when providing services, but cannot be held responsible for losses caused by circumstances outside its reasonable control, including failures of third-party services, hosting providers, software platforms, internet services, APIs, or other external systems.
To the extent permitted by applicable law, IfeCharis will not be responsible for indirect, incidental, or consequential losses arising from the use of the website or services.
Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.
19. Force majeure
IfeCharis will not be responsible for delays or failure to perform obligations caused by circumstances reasonably beyond its control.
This may include major technical failures, internet outages, natural disasters, government actions, serious illness, cyber incidents, or failures of third-party services.
Where possible, I will communicate significant delays and work with the client to agree on a reasonable way forward.
20. Changes to these Terms
I may update these Terms & Conditions from time to time.
The updated version will be published on this page with a new “Last updated” date.
Terms applying to an existing client project will continue to be governed by the agreement applicable to that project unless otherwise agreed.
21. Governing law
These Terms & Conditions are governed by the laws of Nigeria, unless a separate written agreement with a client states otherwise.
Any disputes will be handled in accordance with applicable Nigerian law.
